本协议双方为了发展贸易，在平等互利的基础上，按下列条件签定本协议。

This agreement is entered into between the parties concerned on the basis of equality and mutual benefit to develop business on terms and conditions mutually agreed upon as follows:

甲方委托乙方为销售代理人，推销下列商品。

Party A hereby appoints party B to act as his selling agent to sell the commodity mentioned below.

2 商品及数量或金额

Commodity and Quantity or amount

双方约定，乙方在协议有效期内，承销不少于_____的上述商品。

It is mutually agreed that Party B shall undertake to sell not less than _____ of the aforesaid commodity in the duration of this Agreement.

3 经销地区只限在_____销售。

4 定单的确认

关于协议所规定的上述商品的每笔交易，其数量、价格及装运条件等须经甲方确认，并签定销售确认书，对交易做具体规定。

Confirmation of orders

The quantities, prices and shipment of the commodities stated in this Agreement shall be confirmed for each transaction, the particulars of which are to be specified in the Sales Confirmation signed by the two parties hereto.

5 付款

订单确认后，乙方须按照有关确认书所规定的时间开立以甲方为受益人的保兑的、不可撤消的即期信用证。乙方开出信用证后，应立即通知甲方，以便甲方准备交货。 Payment

After confirmation of the order, Party B shall arrange to open a confirmed, irrevocable L/C a vailable by draft at sight in favour of Party A within the time stipulated in the relevant S/C. Party B shall also notify Pary A immediately after L/C is opened, so that Party A can get prepared for delivery.

6 佣金

在本协议期满时，乙方完成了第二款所规定的数额，甲方当按装运货物所受到的全部发

票金额付给乙方_____%的佣金。

Commission

Upon the expiration of the Agreement and Party B's fullfilment of the total turnover mentioned in Article 2, Party A shall pay to Party B_____% commission on the basis of the aggregate amount of the invoice value already paid by Party B of the shipments effected.

7 市场情况报告

乙方每三个月向甲方提供一次有关当时市场情况和用户意见的详细报告。同时，乙方应随时向甲方提供其它供应商所给的类似商品的样品及其价格、销售情况和广告资料。 Reports on Market Conditions

Party B shall forward once every three months to Party A detailed reports on current market conditions and of consumers comments. Meanwhile, Party B shall, from time to time, send to Party A samples of similiar commodities offered by other suppliers, together with their prices, sales informaiton and advertising materials.

8 宣传广告费用

在本协议有效期内，乙方在上述经销地区内所作广告宣传的一切费用，由乙方自理。乙方须事先向甲方提供宣传广告的图案及文字说明，由甲方审阅同意。

Advertising & Publicity Expenses

Party B shall bear all expenses for advertising and publicity within the aforementioned territory in the duration of this Agreement and submit to Party A all patterns and / or drawings and description for prior approval.

9 协议有效期

本协议由双方签字后生效，有效期_____年，自_____至_____。若一方希望延长本协议，则须在本协议期满前一个月书面通知另一方，经双方协商决定。

若协议一方未履行协议条款，另一方有权终止协议。

Validity of Agreement

This agreement, after its being signed by the parties concerned shall remain of in force for_____as from _____ to _____ If either party wish to extend this Agreement, he shall notice, in writing, the other party one month prior to its expiration, the matter shall be decided by consent of the parties hereto.

Should enther party fail to implement the terms and conditions herein, the other party is entitled to terminate the Agreement.

10 仲裁

在履行协议过程中，如产生争议，双方应友好协商解决。若通过友好协商未能达成协议，则提交中国国际贸易促进委员会对外贸易仲裁委员会，根据该会仲裁程序暂行规定进行仲裁。该委员会决定是终局的，对双方均有约束力。仲裁费用，除另有规定外，由败诉一方负担。

Arbitration

All disputes arising from the execution of this agreement shall be settled through

friendly consultations. In case no settlement can be reached, the case in dispute shall then be submitted to the Foreign Trad Arbitration Commission of the China Council for the Promotion of International Trade for Arbitration in accordance with its Provisional Rules of Procedure. The decesion made by this commission shall be regarded as final and binding upon both parties. Arbitration fees shall be borne by the losing party, unless otherwise awarded.

11 其它条款

（1）甲方不得向经销地区其它买主供应本协议所规定的商品，如有询价，当转给乙方洽办。若有买主希望从甲方直接订购，甲方可以供货，但甲方须将有关销售确认书副本寄给乙方，并按所达成交易的发票金额给乙方_____%的佣金。

（2）若乙方在_____月内未能向甲方提供至少_____的订货，甲方不承担本协议的义务。

（3）对双方政府间的贸易，甲方有权按其政府的授权进行有关的直接贸易，而不受本协议的约束。乙方不得干涉此种直接贸易，也无权向甲方提出任何补偿或佣金要求。

（4）本协议受签约双方所签定的销售确认条款的制约。

11 Other Terms&Conditions

(1) Party A shall not supply the contracted commodity to any other buyers in the above mentioned territory. Direct enquiries, if any , will be referred to Party B. Howerver, should any other buyers wish to deal with Party A directly, Party A may do so, But Party A shall send to Party B a copy of sales confirmaiton and give party B_____% commission(s) concluded.

(2) Should Party B fail to pass on his orders to Party A in a period of _____ months for a minimum of _____, Party A shall not bind himself to this Agreement.

(3) For any business transacted between governments of both Parties, Party A may handle such direct dealings as authorized by Party A's government without binding himself to this Agreement. Party B shall not interfere in such direct dealings, nor shall Party B bring forward any demand for compensation therefrom.

(4) This Agreement shall be subject to the terms and conditions in the Sales Confirmation signed by both parties hereto.

article 1. authorization

1.1 subject to the terms and conditions herein provided, __________ hereby authorizes distributor to distribute the products mentioned in article 2 herein within the territory mentioned in article 3 herein and distributor agrees and assumes such appointment.

1.2 the grant and appointment in this agreement is only for the sale of products mentioned in article 2 herein, with the trademark as exactly and specifically shown in annex 1 herein in territory mentioned in article 3 herein and shall not extend to any other products or any other territory than specified herein.

此协议的授权只针对条款3所规定的区域和条款2所规定的产品，不可延伸到其他产品和区域。

1.3 during the term of this agreement, __________ shall not sell the product directly or indirectly sell the product in the territory and __________ shall not appoint any other distributor of the product other than distributor in the territory.

在此协议有效期内，__________公司将不能够在授权区域内直接或间接销售此产品，也不可就条款2所规定的产品授权品牌给任何其他的客户。

article 2. products

条款 2 . 产品

products shall mean the product shown in annex 3 with the trademark exactly mentioned in annex 1 herein, which is produced by distributor.

article 3. territory

territory shall mean mainland china including macao and hongkong.

article 4. term

4.1 this agreement shall become effective on the date when __________ receives us$ ________ stipulated in article 6.1 hereof and continue to be effective up to fifteen(15) months after effective date.

此协议将于__________公司收到条款6.1中规定的________美金起生效，有效期为生效期后15个月。

4.2 at the end of 15 months after the effective date mentioned article 4.1 hereinabove, the term of this agreement shall be automatically extended up to additional two(2) years, subject to distributor’s fulfillment of the obligation mentioned in this agreement.

如代理商履行本协议的职责，此协议将在条款4.1规定的有效期结束后自动延长两年。

4.3 the term of this agreement shall be renegotiated and agreed by mutual discussion for additional renewal of this agreement for additional three(3) years after the first three(3) years expired.

此协议前三年结束后，续签协议的条款需经双方重新协商同意后补充另外三年的条款。

article 5. trademark

条款 5 商标

trademark shall mean the trademarks, trade names and logotypes of __________, which are exactly and specifically shown in annex 1 hereof.

商标是指在附件(1)中标明的__________公司商标的名称,文字和图形

article 6. payment

条款 6 商标使用费

6.1 in consideration of the distributorship granted to distributor herein, distributor shall pay __________ the fixed payment of usd650,000 to the __________’s designated bank account during the first year by telegraphic transfer as follows;

代理商需通过t/t将第一年商标使用费________美金按以下方式汇至__________公司指定银行帐号：

us$ ________ within 1 week after signing this agreement

us$ 135,000 by march 31, 2017

if distributor fail to pay above amount to __________ within 7 days stipulated hereinabove, distributor shall pay 10 % per annual interest rate to __________ until it is fully paid.

如果代理商在以上规定期限后的7天内没有完成支付以上金额给__________公司，代理商将要支付10%的年利息给__________公司，直到全部付清。

6.2 distributor shall additionally pay __________ 3%(three per cents) of the sales amount of product which exceed the minimum sales amount stipulated in article 8.2 in this agreement at the end of the term of this agreement as a running payment.

如果实际销售额超过条款(8.2)中要求的最低销售额, 则代理商将按照销售金额的3%支付给__________公司品牌使用费.

6.3 fixed payment amount for the second year shall be usd680,000 and payment for the third year shall be usd________.

第二年的固定商标使用费为680,000美金；第三年的固定商标使用费为________美金。

6.4 distributor shall not claim any payment which was paid to __________, to refund to distributor from __________, for any reason.

代理商不得以任何理由要求__________公司退还已付的商标使用费。

6.5 payment of payment can be made by distributor’s designated company located in hongkong.

商标使用费可以通过代理商在香港的指定公司支付。

article 7. report & audit

条款 7 报告和审计

7.1 distributor shall send to __________ a written quarterly report regarding distributor’s purchase of the products in the form shown in annex 2.

代理商每月应提供书面的销售报告给__________公司(见附件(2))

7.2 distributor shall keep records and books of account in relation to the purchase of the products and permit __________ or an independent certified public accountant employed by __________ to examine such records and books at any time reasonable.

代理商应保存由正规会计所出具的财务记录以备__________公司随时查验.

article 8. sales of products

条款 8 产品销售

8.1 distributor shall exert its utmost efforts to sell and adequately advertise the products in order to maintain and enhance distributor’s sale of the products in the territory,.

代理商应该竭尽全力去销售该产品和充分地进行该产品的广告宣传，以维持和提升代理商所经销的产品在该地区的销量。

8.2 distributor shall achieve minimum u$ ________ of the sales of product in the territory for the year of 2017.

在2017年度，代理商在该地区应该达到________万美元的销售额。

8.3 in case of requested by distributor for exporting to other country, __________ will provide priority of negotiation to distributor if __________ does not have distributor at this country, with the condition of the separate agreement can be successfully negotiated and signed.

如果代理商要求出口产品到其他国家，而且该国家还没有__________公司的代理商，在单独协议能够协商成功并签署的情况下，__________公司将给予该代理商优先谈判权。

article 9. after-sales service

条款 9. 售后服务

distributor shall be responsible for the execution of and expenses for the after-sales service for products sold in territory and __________ shall not be responsible for that respect. distributor shall indemnify __________ from any loss arising from product liability and distributor indemnify __________ any loss immediately.

代理商应对在授权区域内产品的售后服务负责，__________公司不对售后服务负责。代理商需直接赔偿__________公司由产品问题引起的一切损失。

article 10. warranty

条款 10. 保证

distributor shall be responsible for the warranty and product liability in territory and shall indemnify __________ from any loss arising from warranty or product liability and distributor compensate __________ any loss immediately. distributor shall arrange the product liability insured in territory, if required by the regulation or laws in the territory.

代理商必须对该地区的产品责任和质量保证负责，并保证__________公司不因产品责任和质量保证所引起的损失而受到损害，代理商必须即刻对__________公司因此遭受的损害进行补偿。

article 11. government approval

条款11 政府批准

it shall be the responsibility of distributor to obtain promptly the required approval of this agreement from the government or related authorities in territory.

代理商必须负责迅速获得该地区政府或相关权力机构对本协议的批准。

article 12. termination

条款 12. 协议的终止

12.1 in case distributor fails to pay payment to __________ mentioned in article 6, __________ shall reserve the right to terminate this agreement without any notice at any time.

如果代理商不能按照条款6的内容支付权利金, __________公司将保留随时书面通知终止协议的权利

12.2 any failure of one party to fulfill any of its duties in this agreement shall constitute a breach of this agreement. in the event of such breach of one party, if the other party makes written objection, then if such breach is not cured within 20 days after the notice date of the said written objection, the objecting party shall be entitled to terminate this agreement with additional 20 days written notice.

任何一方不能履行此协议中的条款将视为违反协议. 如果在一方对违反协议的另一方书面提出意见而违反方在20天内没有改正, 则提出意见方将在20天后有权通过书面形式提出终止协议.

12.3 in case distributor fails to fulfill the obligations of this agreement or do anything harm, in judgment of __________, to __________ or trademark, __________ shall reserve the right to terminate this agreement with 20 days prior written notice, and distributor shall not raise any claim or suit for compensation for the loss arising out of such termination.

如果代理商不能履行此协议中规定的义务或做出任何伤害__________公司和__________品牌的事情, __________公司将保留提前30天书面终止协议.代理商没有权利要求赔偿由此协议终止产生的损失.

12.4 in the event of one party’s bankruptcy, insolvency, dissolution, modification, amalgamation, receivership proceedings effecting the operation of its business or discontinuation of business for any reason and/or re-organization by the third party, the other party hereto shall be entitled to terminate this agreement with 20 days prior written notice.

协议中任何一方发生破产, 无力偿还, 解散, 变更, 合并或正在执行的破产管理从而导致公司不能正常继续业务或被第三方从组公司, 则另一方有权无条件提前20天书面提出终止协议。

article 13. duties of distributor

条款 13. 双方的义务

13.1 distributor shall promptly notify __________ of any information which is likely to be of interest, use or benefit to __________ relating to the marketing of products in the territory. 有关该地区的产品营销有涉及到__________公司利益、效用、权利的任何信息，代理商都应迅速通告__________公司。

13.2 distributor shall guarantee the quality of product to the buyers and consumers of product in territory at all times in order to maintain the good reputation and good will of __________.

代理商必须在任何时候都对该地区的该产品顾客和消费者保证产品质量，以维护__________公司的良好信誉和意愿。

13.3 distributor shall not sell any products bearing trademarks, of inferior quality which may jeopardize the reputation and good will of __________’s trademarks. in case trademarks are used on such products or used improperly, to the judgment of __________, __________ shall immediately order to distributor to stop the use of trademarks on such products.

代理商不可以销售任何可能损害__________公司商标的良好信誉和意愿的贴有商标的次品。以__________公司的判断，如果该商标被用在这样的次品上面或者被不适当地使用，__________公司将立刻要求代理商停止在这样的产品上面使用该商标。

14. duties of distributor for trademark

条款14 代理商的商标职责

14.1 distributor acknowledges that all the trademarks in all the products, printed materials, films, electronic files and the internet remain the sole and exclusive property of __________ and/or any third parties who have such right.

代理商必须承认所有产品、印刷材料、影片、电子文档及网络上的所有商标的专用权属于__________公司或拥有商标权的任何第三方

14.2 distributor shall not apply for the registration of the trademarks or cause to be done so in whole or in part or other trademarks similar thereto with respect to the products or any other products in territory.

代理商不得申请注册“__________”商标或者申请与其商标相同或者相似的商标。

14.3 distributor shall not represent at any time that it has any right or title in and to the trademarks except as otherwise specifically provided for herein and shall agree not to do or cause to be done any act or thing which may in any way impair the right or title of the trademarks.

未经__________公司的专门允许的情况下，代理商在任何时候都不得表述其拥有商标的权利和商标所有权。代理商必须同意不做出任何或相关会以任何方式损害商标权利或所有权的行为或事件。

14.4 distributor shall not use the trademarks on the products, packing materials and sales materials in the manner other than those previously approved by __________. distributor shall not change the manner of use or combine the trademarks with any other letters, names, trademarks, or other indications.

未经__________公司预先许可批准，代理人不得在其产品、包装材料和销售材料上使用__________公司的商标。代理商不得改变商标的使用方法或者用任何其他字母、名称、商标或其他指示改变商标的组合方法。

14.5 __________ shall reserve the right to advise and order to distributor for the matters arising out of brand, logo, advertisement and after service, and distributor shall follow such advice and order from __________.

__________公司可以保留建议和命令代理商处理由品牌、标志、广告宣传及售后服务引起的问题的权利。代理商必须遵循__________公司提出的相关建议和命令。

14.6 distributor may register internet domain name in territory with subject to be approved by __________ in advance and shall return its to __________ immediately in case of terminated contract whatever the reasons are.

代理商可在__________公司允许的前提下在授权区域内注册网络域名。当合同无论以任何理由终止时，代理商必须将域名归还__________公司。

article 15. intellectual property right

条款15 知识产权

if product infringes the other party’s intellectual property right, distributor shall be responsible for the infringement and distributor shall indemnify __________ for any loss, whatsoever arising from the infringement and distributor shall compensate any loss to __________ immediately.

若产品侵犯他方的知识产权，代理商必须对其侵权行为负责且赔偿__________公司的所有损失。同时，对由侵权行为引起的损失，代理商必须立即对__________公司做出赔偿。

article 16. tax and duty

条款 16. 税赋和义务

all payments made under this agreement from distributor to __________ shall be free and clear of any deductions for taxes and assessments occurred or levied in the territory. distributor shall pay all the taxes, withholding taxes and assessments occurred in the territory.

此协议中所有分销商代理商付给__________公司的费用是指税后金额而没有任何税金和其它费用的扣除. 代理商应承担在授权区域内产生的税务.

article 17. indemnification and no agency

条款 17 赔偿及免代理

17.1 __________ shall not be responsible for the acts or defaults of distributor or its employees or representatives or its appointed retail traders and distributor hereby agrees to indemnify and to hold __________ harmless from any and all claims of any nature whatsoever arising therefrom. __________ shall not be responsible for the claim or lawsuit from distributor’s dealer, buyer or consumer of the product and distributor shall indemnify __________ for the loss arising from thereon and distributor shall immediately compensate __________ for any loss therefore. distributor shall not be responsible for the acts or defaults of __________ or its employees or representatives or its appointed manufacturers and distributor hereby agrees to indemnify and to hold __________ harmless from any and all claims of any nature whatsoever arising therefrom.

__________公司无须为其代理商、雇员、代表人及其终端零售商的行为或过失负责。代理商同意赔偿和承担__________公司所有质量投诉引起的损失。

__________公司无须为代理商合作者、买主或产品消费者的投诉及法律纠纷负责。代理商必须赔偿__________公司由代理商合作者、买主或产品消费者造成的损失。

代理商无须为__________公司雇员、代表人及其指定供应商的行为或过失负责。代理商同意赔偿和承担__________公司所有质量投诉引起的损失。

17.2 this agreement does not constitute the appointment of either party as the agent or legal representative of the other party for any purpose whatsoever. distributor and __________ shall not incur any liability on behalf of the other party or in any way pledge or purport to pledge the other party’s credit or accept any order or make any contract binding upon the other party without prior written consent of the other party.

此项协议并不构成以任何目的的任意一方与第三方的代理合约条款。代理商与__________公司不可代表第三方承担责任，不可用任意方式保证或声称保证第三方的信用，不可在未预先签订书面协议的情况下接受第三方合同或与第三方签订合约。

article 18. force majeure

条款 18 不可抗力

if the performance of this agreement or of any obligation hereunder, except the ma-ki-ng of payments under or in connection with this agreement, is prevented, restricted or interfered with by reason of fire, storm, explosion, flood, earthquake, war, terror, rebellion or other casualty or accident; labor dispute, epidemics, quarantine restriction, transportation embargo, law, act, rule, regulation, order, decision, or directive of any government or competent jurisdiction in matters relating to this agreement or any agency thereof; or any other act or condition whatsoever beyond the reasonable control of the parties hereto, the party so affected, upon giving prompt notice to the other parties, shall be excused from such performance to the extent of such prevention, restriction or interference.

除合同规定或与合同有关事项的支付款额外，如果条约和义务的履行受到如下事情的阻碍、限制、和干预冲突，如火灾、暴雨、爆炸、洪水、地震、战争、恐怖活动、叛乱或其他意外、劳工纠纷、传染病、检疫隔离、限制运输、法律、行为、规定、规则、命令、决定或任何政府部门的指示，与条约有关的司法权利和行为，或者任何其他超出双方合理控制范围之外的事情，使一方受到影响，在对其它各方进行紧急通知的同时，必须对这种阻碍、限制和冲突事件给予合理解释。

the party so affected, however, shall use its best efforts to avoid or remove such causes of non-performance and to cure and complete performance hereunder with the utmost deligence whenever such causes are removed.

受影响的一方，必须尽最大努力消除或避免导致无法履行合同的不利因素，在不利因素消失即时起，补偿并继续履行合同。

article 19. rights of third parties to this agreement

条款 19 . 合同第三方权利

this agreement and all terms and conditions hereof shall inure to the benefit of the parties hereto, and shall be binding upon any successors to the parties hereto, but neither party may assign this agreement or any rights or obligations hereunder directly or indirectly, without the prior written consent of the other party. nevertheless, __________ has the right to assign __________’s right in whole or in part to any third party at __________’s sole discretion.

此合同各项条款在双方获利时生效，并惠及双方继任者。任何一方在没有得到书面形式同意的情况下不得直接或间接转让此合同的权利和义务。但是__________公司有权将全部或部分己方权利授予第三方。

article 20. confidentiality

条款 20 . 保密条款

__________ and distributor shall keep this agreement confidential and not make public except agreed by both parties in written agreement.

__________公司和代理商必须对合同保密。未经双方签订书面形式同意合约，不得公开合同内容。

article 21. entire agreement

this agreement sets forth the complete understanding of the parties hereto with respect to the subject matter herein, and supersedes any prior understanding or agreement relating thereto.

此合同公布了各方对合同中提及的条款的完全理解，并且代替所有先前相关的理解及合同。

article 22. governing law and arbitration

条款 22. 仲裁和适用法律

21.1 this agreement shall be governed by the laws of korea in all respects of validity, construction and performance thereof.

此协议中的有效性,合法性, 解释和履行适用于韩国法律

21.2 all disputes arising out of this agreement shall be settled by the arbitration association of the korea, and the award thereof shall be final and bind both parties.

关于此协议的所有纠纷由韩国商业仲裁委员会解决, 解决方案是最终的和对双方都有约束力的.
